Terms of Service

Introduction

Welcome to Dietree. These Terms of Service ("Terms") govern your access to and use of the Dietree mobile application and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

Acceptance of Terms

By creating an account, downloading, installing, or using the Dietree app, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after the posting of modified Terms constitutes your acceptance of the changes.

Account Registration and Security

To use certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

User Content

The Service allows you to input, upload, or store content such as food inventory data, meal plans, photos, and personal health information ("User Content"). You retain all rights in your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

Health Disclaimer

Dietree provides nutritional information, meal planning suggestions, and health tracking features. This information is for general informational purposes only and is not intended as medical advice, diagnosis, or treatment.

The Service is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or dietary needs.

We do not guarantee the accuracy, completeness, or usefulness of any nutritional information, meal plans, or health recommendations provided through the Service. You use such information at your own risk.

Subscription and Payments

Some features of the Service may require a subscription. By subscribing to a paid plan, you agree to pay the subscription fees as described at the time of purchase.

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage and cancel your subscription through your app store account settings.

We reserve the right to change subscription fees upon notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Intellectual Property

The Service and its original content, features, and functionality are owned by Dietree and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Service unless applicable laws prohibit these restrictions.

Prohibited Conduct

You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Impersonate any person or entity or falsely state your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to send unsolicited communications or promotions
  • Use the Service to collect or harvest user data without consent
  • Upload or transmit viruses, malware, or other malicious code that may damage the operation of the Service

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIETREE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

Indemnification

You agree to defend, indemnify, and hold harmless Dietree and its licensees, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Dietree is established, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Dietree regarding the Service and supersede all prior and contemporaneous written or oral agreements.
